Steadfast Gardening Services – Garden Service Terms of Service Agreement
(Applicable to All Client Contracts – Including Month-to-Month Garden & Hydroponic Services)This Terms of Service Agreement (“Agreement”) is entered into between Steadfast Gardening Services (“Service Provider”) and the Client upon approval of any proposal, quote, invoice, or service authorization. This Agreement governs all services provided.

1. Scope of ServicesService Provider will perform the gardening, hydroponic, maintenance, planning, and related services described in the approved proposal. Services are limited to the specific tasks listed and do not include additional work unless agreed to in writing by both parties.Service Provider does not provide architectural, engineering, plumbing, or electrical contracting services unless expressly stated in writing.

2. Contract Term – Month-to-Month AgreementThis Agreement operates on a month-to-month service structure, beginning on the date of the first payment.Services automatically renew monthly unless canceled in accordance with Section 17 (Cancellation & Termination).

3. Service Plans & Billing StructureClient agrees to enroll in one (1) service plan offered by Steadfast Gardening Services, as selected in the approved proposal, quote, or service authorization.All plans operate on a month-to-month service basis, regardless of billing frequency.Client may choose monthly billing or optional annual prepaid billing, as indicated in the approved proposal.

Starter PlanFor up to three (3) raised garden bedsDesigned for new gardeners seeking planning and guidance support. Services may include:Garden planner setup customized to the Client’s garden
Seasonal planting guidance
Raised bed layout recommendations
Virtual or remote support as outlined in the proposal
This plan does not include onsite labor, installation, planting, soil delivery, or ongoing maintenance unless expressly stated in writing.

Essential PlanFor up to five (5) raised garden bedsDesigned for gardeners seeking structured setup and planning. Services may include:Custom raised bed design
Soil delivery coordination
Planting guide specific to the garden layout
Limited onsite or remote support as defined in the proposal
Ongoing maintenance, frequent visits, or crop management are not included unless explicitly stated in writing.

Premium PlanFor up to five (5) garden beds and/or inground bedsDesigned for Clients seeking ongoing support and care. Services may include:Full-service garden setup
Ongoing crop planning
Monthly check-ins (onsite or virtual as defined in the proposal)
Priority communication and support
The scope, frequency, and nature of services are limited to what is expressly stated in the approved proposal.

4. Included ConsumablesUnless otherwise stated in writing, service plans do not include consumables such as seeds, soil, amendments, fertilizers, pest control products, or hydroponic materials.If a consumables allowance is explicitly included in a Client’s proposal, that allowance will apply on a monthly basis and may include:Seeds and seedlings
Soil amendments and fertilizers
Basic pest control materials
pH and nutrient testing supplies
Minor system materials (e.g., tubing, clips, ties)
Consumables exceeding any approved allowance will be itemized and billed separately.

5. Additional Materials & Equipment (Not Included in Service Plans)Client acknowledges the following items are not included in any service plan and will be billed separately as needed:Bulk soil, compost, gravel, or rock

Raised bed construction or rebuilds
Irrigation components, timers, controllers, or zone hardware
Hydroponic components (pumps, reservoirs, lights, controllers)
Trellising, fencing, garden expansions, or structural additions
Specialty or premium plant varieties
Any upgrades, renovations, repairs, or new installations requested by Client

All additional materials and equipment must be pre-approved by the Client prior to purchase.

6. Plan Upgrades, Downgrades & ChangesClient may request plan changes with written notice.UpgradesTake effect at the start of the next billing cycle unless otherwise approved
May require an updated proposal
Annual billing clients will be charged the prorated difference
DowngradesRequire 30 days written notice
Take effect at the start of the following billing cycle
Annual clients will receive a prorated credit applied to remaining months
Service Provider may require a plan upgrade if bed count, system complexity, or service scope exceeds the selected plan.

7. Overage Services & Additional ChargesServices exceeding the limits of the selected plan are considered overage services and will be billed separately.Overage pricing will be:Defined in the approved proposal, invoice, or rate sheet in effect at the time of service; or
Quoted and approved in writing prior to performance
Client approval may be verbal or written. Continued services beyond plan limits constitute acceptance of overage charges.

8. Access to PropertyClient agrees to provide safe, reasonable access to all gardens, hydroponic systems, utilities, and work areas.Service Provider is not responsible for delays or reduced service quality caused by:Locked or inaccessible areas
Blocked access
Unsafe work environments
Obstructed irrigation or hydroponic systems

9. Payment TermsInvoices are issued according to the approved billing structure. Payment is due within fifteen (15) days of receipt.Late payments may result in:Temporary suspension of services
Late fees as stated in the proposal or invoice
Rescheduling of upcoming visits
No refunds will be issued for services already provided.

10. Independent Contractor StatusAll individuals performing services (including but not limited to Corbin Bush) act strictly as independent contractors.Nothing in this Agreement creates an employer–employee relationship.
Service Provider retains full control over work methods, safety procedures, scheduling, and personnel decisions.

11. Safety & On-Site ConductService Provider will follow reasonable safety practices. Client agrees to:Maintain a safe work environment
Disclose known hazards
Secure pets, equipment, and unsafe conditions
Remove debris or obstacles that limit work
Service Provider may pause work if unsafe conditions exist.

12. Indemnification & Hold HarmlessClient agrees to indemnify, defend, and hold harmless Service Provider and its personnel from all claims, damages, losses, or expenses arising from:Pre-existing property conditions
Defects in Client-owned equipment or systems
Actions or negligence of Client staff, guests, or third parties
Environmental conditions (weather, pests, wildlife)
Unauthorized system modifications
Injuries not caused by Service Provider’s gross negligence or willful misconduct

13. Limitation of Liability
        13.1 Property Damage
Liability is limited to the direct cost of repair or replacement and shall not exceed one month of service         fees.
        13.2 System FailuresService Provider is not responsible for failures of pre-existing irrigation, electrical, hydroponic, plumbing,         or structural systems unless caused by documented negligence.
        13.3 Produce & Plant VariabilityService Provider does not guarantee yield, plant survival, pest resistance, or system uptime.         Client waives claims related to crop loss or reduced yield.

14. Third-Party Injury ProtectionService Provider is not responsible for injuries to staff, volunteers, guests, or visitors unless caused by gross negligence.

15. Non-Interference ClauseClient agrees not to modify irrigation, hydroponic systems, planting layouts, or schedules without approval. Unauthorized changes void Service Provider responsibility for resulting issues.

16. Damage to Service Provider EquipmentClient is responsible for safeguarding Service Provider equipment. Any loss, theft, or damage must be reimbursed.

17. Cancellation & Termination (30-Day Notice Required)Monthly Billing - Either party may cancel with thirty (30) days written notice
Services continue during the notice period
No refunds are issued for services provided
Annual (Prepaid) BillingCancellation requires thirty (30) days written notice
A one (1) month service fee will be retained by Service Provider
Remaining unused months will be refunded
Refunds are calculated at the standard monthly rate, not discounted rates
Outstanding charges will be deducted prior to refund issuance

18. Photography & Media Rights - Client grants permission for Service Provider to photograph garden areas for marketing and portfolio use. No identifiable images of individuals will be used without consent.

19. Weather & Environmental DelaysService Provider is not responsible for delays or outcomes caused by weather, pests, wildlife, or environmental factors.

20. Agreement AcceptanceBy approving a proposal, authorizing work, or allowing services to begin, Client agrees to all terms in this Agreement.

Steadfast Gardening Services – Landscaping Terms of Service
(Applicable to All Landscape Design, Installation, and Maintenance Services)This Landscaping Terms of Service Agreement (“Agreement”) is entered into between Steadfast Gardening Services (“Service Provider”) and the Client upon approval of any landscaping proposal, quote, invoice, or service authorization. These terms govern all landscaping-related services.

1. Scope of Landscaping ServicesService Provider will perform landscaping services as expressly described in the approved proposal. Services may include, but are not limited to:Landscape design and layoutGarden bed construction, refresh, or removalMulch, soil, rock, gravel, and compost installationPlant installation and replacementMinor irrigation adjustments or repairsHardscape elements that are non-structuralLandscape cleanup and site preparationServices are limited strictly to the scope defined in the approved proposal. Any work outside of the stated scope requires written approval and may result in additional charges.Service Provider does not provide architectural, engineering, plumbing, electrical, or structural contracting services unless expressly stated in writing.

2. Project Schedule & Site ConditionsAll project timelines are estimates and may be affected by:Weather conditionsMaterial availability or supply delaysSite readiness or access limitationsUnderground obstacles or unknown site conditionsClient-requested changes or delaysClient is responsible for ensuring the site is accessible, clear, and ready for work at the scheduled time. Delays caused by site conditions may result in rescheduling, additional labor charges, or extended timelines.

3. Payment TermsPayment terms, including deposits and final balances, are defined in the approved proposal.Unless otherwise stated in writing:Deposits are non-refundable once materials are ordered or work has begunFinal payment is due upon substantial completion of the projectLate payments may result in delayed scheduling or suspension of remaining workService Provider reserves the right to withhold final walkthroughs, punch-list work, or documentation until payment is received in full.

4. Materials, Plants & SubstitutionsClient acknowledges that landscaping materials and plants are natural products and may vary in appearance.Color, size, texture, and finish may differ from samples or photosPlant availability may vary due to seasonality or supplier constraintsComparable substitutions may be made when necessaryAny substitutions will be of comparable quality unless otherwise approved by Client.

5. Plant, Sod & Landscape Warranty DisclaimerDue to factors beyond Service Provider’s control—including weather, soil conditions, pests, wildlife, irrigation performance, and Client maintenance practices—no warranty or guarantee is made regarding:Plant survival or growth rateSod establishmentLong-term appearance or healthWeed preventionAll plants, sod, seed, and landscape materials are installed “as-is.”
Any plant or material warranty must be expressly stated in writing in the approved proposal.

6. Underground Utilities & Site HazardsClient is responsible for identifying, marking, and disclosing all underground utilities and hazards, including but not limited to:Irrigation linesElectrical wiringPlumbing or drainage linesSeptic systemsInvisible pet fencingService Provider is not responsible for damage to unmarked or improperly marked utilities or systems.

7. Change OrdersAny modifications to the approved scope after work has begun must be documented and approved in writing.Change orders may affect pricing, materials, and timelines and will be billed separately.

8. Safety & On-Site ConductService Provider will follow reasonable safety practices during all landscaping activities.Client agrees to:Maintain a safe work environmentSecure pets and children away from work areasRemove or disclose hazards prior to workService Provider reserves the right to pause or stop work if unsafe conditions exist.

9. Property Disturbance & RestorationClient acknowledges that landscaping work may result in:Temporary turf disturbanceSoil compaction or settlingDust, debris, or noiseService Provider is not responsible for minor or expected disturbances inherent to landscaping work.

10. Limitation of LiabilityService Provider’s liability for property damage caused by documented negligence is limited to the direct cost of repair or replacement of the affected item.In no event shall Service Provider be liable for indirect, incidental, consequential, or punitive damages.Total liability shall not exceed the total amount paid by Client for the specific landscaping services performed.

11. Indemnification & Hold HarmlessClient agrees to indemnify, defend, and hold harmless Service Provider from any claims, damages, losses, or expenses arising from:Pre-existing site conditionsClient-owned structures or equipmentActions of Client, guests, neighbors, or third partiesEnvironmental conditions, pests, or wildlife

12. Maintenance Responsibility After InstallationUnless ongoing maintenance services are expressly included in the proposal, Client assumes full responsibility for:WateringFertilizationPest managementGeneral plant careService Provider is not responsible for plant loss, decline, or landscape condition after installation is complete unless covered by a written maintenance agreement.

13. Weather & Force MajeureService Provider is not responsible for delays, damage, or performance issues caused by events beyond reasonable control, including:Severe weatherFlooding or droughtActs of GodSupply chain disruptionsGovernment restrictionsProject timelines may be adjusted as necessary without penalty.

14. Texas Construction Lien NoticeClient is advised that, under Texas law, Service Provider may have the right to file a mechanic’s or materialman’s lien for unpaid labor or materials provided as part of landscaping services, as permitted by law.Nothing in this Agreement waives or limits Service Provider’s rights under applicable Texas lien statutes.

15. Photography & Marketing RightsClient grants Service Provider the right to photograph completed or in-progress landscaping work for marketing, portfolio, and promotional use.No identifiable images of individuals will be used without express permission.

16. Cancellation & TerminationCancellation terms are defined in the approved proposal.Unless otherwise stated:Deposits are non-refundableClient is responsible for costs incurred prior to cancellationMaterials already ordered or delivered will be billed to the Client

17. Agreement AcceptanceBy approving a landscaping proposal, authorizing work, or allowing services to begin, Client agrees to all terms contained in this Agreement.
